CONSTITUTION
ARKANSAS COUNCIL OF TEACHERS OF MATHEMATICS
(Amended 2011, 2007, 1998, 1989)
ARTICLE I. NAME
This organization shall be known as the Arkansas Council of Teachers of Mathematics (ACTM), hereinafter referred to as the Council, a group affiliated with the National Council of Teachers of Mathematics (NCTM).
ARTICLE II. PURPOSE, FUNCTION, AND DISSOLUTION
Section 1. The purpose of the Council is:
- To encourage an active interest in mathematics.
- To improve teaching of mathematics.
- Exclusively for educational purposes.
Section 2. The function of the Council is:
- To assist Arkansas mathematics teachers in cooperating with and obtaining benefits from the NCTM, and other educational organizations.
- To develop and execute plans to meet the needs of Arkansas teachers of mathematics and students through programs, workshops, research studies, bulletins, and newsletters.
Section 3. Dissolution clause.
If, at any time, the ACTM shall cease to carry out the purposes herein stated, all assets and property held by it, whether in trust or otherwise, shall, after the payment of its liabilities, be paid over to an organization, selected by the final Executive Board of the ACTM, which has similar purposes and has established its tax-exempt status under Section 501 (c) (3) of the Internal Revenue Code of 1954 as now enacted or as it may hereafter be amended, and such assets and property shall be applied exclusively for such charitable, scientific, and educational programs.
ARTICLE III. MEMBERSHIP
Section 1. All persons who are engaged in the teaching of mathematics in educational institutions, public or private, or who are interested in mathematics are eligible for active membership.
Section 2. Pre-service teachers and retired teachers are eligible for associate membership.
ARTICLE IV. OFFICERS
Section 1. Officers.
The officers of the Council shall be president, president-elect, vice-president/college, vice-president/two-year college, vice president /high school, vice-president/junior high/ middle school, vice-president/elementary, secretary, and financial officer.
Section 2. Executive Board.
The Executive Board shall consist of the officers of the Council, the immediate past president of the Council, the state representative to the NCTM, five members elected by the membership, delegate-at-large/college, delegate-at-large/two-year college, delegate-at-large high school, delegate-at-large/junior high/middle school, delegate-at-large/elementary, the state director of the ACTM High School Math Contest, a mathematics consultant of the State Department of Education, the presidents of ACTM affiliated groups, chair of the Membership Committee (appointed by the president), and a representative from the Arkansas School for Mathematics, Sciences, and the Arts, which constitutes the voting members of the Executive Board. Other representatives may be invited to serve on the Executive Board as non-voting members.
Section 3. Term of office.
The president-elect shall be elected to serve a term of one year as president-elect two years as president and one year as immediate Past-President. The president shall not serve two consecutive terms. The other elected members of the Executive Board shall be elected for a term of two years and shall be limited to two consecutive terms.
The following members of the Executive Board shall be elected in even-numbered years: vice-president/college, vice-president/two-year college, vice-president/junior high/middle school, delegate-at-large/high school, delegate-at-large/elementary, state representative to the NCTM.
The following members of the Executive Board shall be elected in odd-numbered years: president-elect, vice-president/high school, vice-president/elementary, secretary, delegate-at-large/college, delegate-at-large/two year college, delegate-at-large/junior high/middle school.
The financial officer shall be nominated by the Executive Board and selected by majority vote of the Executive Board. The initial term shall be for two years and a financial officier shall be eligible for reappointment based on performance review by the Executive Board at its biennial winter retreat.
Section 4. Nominations and elections.
The officers and other elected members of the Executive Board of the Council shall be elected by secret ballot provided to the current membership in the spring. The Nominating Committee shall prepare a slate with at least two candidates for each position. The report of the Nominating Committee shall be presented to the Executive Board at its spring meeting. The Executive Board shall authorize a ballot to be delivered to the membership. The ballot shall list nominated candidates and allow for a write-in candidate for each position to be elected. The Executive Board shall set a closing date for receiving the completed ballots. Within one month after that time, the Nominating Committee or a special committee as designated by the president shall meet to talley the ballots and certify the election results. Election results shall be printed in the fall Newsletter. Those elected shall assume office the following January 1st.
Officers and other members of the Executive Board must be members of the ACTM. The President-Elect, President, and NCTM Representative must be members of the NCTM.
Section 5. Duties:
The duties of the president are:
- To preside at all meetings of the Council and the Executive Board.
- To appoint chairs of all standing committees.
- To appoint all necessary committees in addition to those provided in this Constitution.
- To see that all accepted policies of the Council are carried out.
- To make all necessary arrangements for the annual meeting.
- To make a report at the annual meeting.
- To send a copy of the annual report to the executive secretary of the NCTM.
- To serve as an ex-officio member of all committees.
- To develop a proposed annual budget.
The duty of the vice-presidents is to serve in place of the president upon the president's request.
The duties of the secretary are:
- To keep all records and minutes of all meetings of the Council and the Executive Board.
- To attend to such Council correspondence as the president deems necessary.
- To preserve the annual reports of the president and to keep the historical record of the Council up to date.
The duties of the financial officer are:
- To collect all dues of the Council.
- To pay by check all the routine bills approved by the budget and other bills as approved by the Executive Board or president.
- To file a report of all receipts and disbursements with the secretary at every Executive Board meeting.
- The financial officer shall be bonded.
- To submit documentation for Executive Board audit before each biennial winter retreat.
The duties of the membership chair are:
- To keep an accurate record of all members, their addresses, and teaching positions, indicating those who are members of the NCTM.
- To file copies of the membership record annually with the president, the secretary, the chair of the Program Committee, the chair of the Publications Committee, the state representative to the NCTM, and the regional services committee representative of the NCTM.
The duties of the Executive Board are:
- To act as a governing board of the organization.
- To transact business in the name of the ACTM.
- To initiate and determine policies of the Council.
- To fill any vacancy occurring in an office.
- To serve as a coordinating committee with the NCTM.
ARTICLE V. STANDING COMMITTEES
Section 1. Standing committees.
The standing committees of the Council shall be membership, program, publications, and nominating. The president shall appoint the chairs and other members of each committee with the approval of the Executive Board.
Section 2. Duties:
- The duty of the Membership Committee shall be to present the advantages of the Council to all teachers of mathematics in the state and to enlist their support of the program of the Council.
- The duty of the Program Committee shall be to plan the programs for the meetings of the Council and to work with the State Department of Education in achieving professional development approval for programs and activities and to represent ACTM on the program committee of other ACTM sponsored conferences.
- The duty of the Publications Committee shall be to serve as editor of ACTM publications.
- The duty of the Nominating Committee shall be to select and present a list of candidates for each elective office of the organization to the Executive Board at its spring meeting.
ARTICLE VI. MEETINGS
Section 1. The time and place of meetings.
The Council shall have one meeting in the fall.
Section 2. Time and place of conferences and workshops.
The Council shall plan workshops or conferences when desired statewide or regionally.
Section 3. Time of meeting of the Executive Board.
The Executive Board shall meet prior to the ACTM annual meeting and at other times as the president deems necessary. The president shall call a meeting upon the request of four of its members. The Executive Board may conduct business via electronic means.
Section 4. Notification of any meeting shall be given at least two weeks prior to the date of the meeting. The members present at any meeting of the Council shall constitute a quorum. A majority of the members present at any meeting of the Executive Board shall constitute a quorum.
ARTICLE VII. PUBLICATIONS
Fall, winter, and spring publications will be provided annually by the Council.
ARTICLE VIII. DELEGATE TO NATIONAL CONVENTION
The State Representative to NCTM or their designee shall serve at the delegate assembly of the NCTM.
ARTICLE IX. AMENDMENTS AND REVISIONS
This Constitution may be amended or revised by a two-thirds majority of votes received. Notice of the proposed amendments or revisions along with a ballot shall be authorized by the Executive Board to be sent to every member of the Council at least four weeks before the voting deadline set by the Executive Board. A committee appointed by the president shall certify the votes and the results shall be printed in the next newsletter.

ARTICLE I. PARLIAMENTARY AUTHORITY
Section 1. Robert's Rules of Order. Revised shall be the accepted authority at all time except as it conflicts with the constitution.
Section 2. The president shall appoint a member of the Executive Board to serve as parliamentarian.
ARTICLE II. DUES AND MEMBERSHIP
Each member of the Council shall pay membership dues of fifteen ($15.00) dollars per year. Pre-service teachers and retired teachers may be associate members upon payment of one-half the regular membership dues. A year is defined as one year from the time a member pays the membership dues.
ARTICLE III. RESIGNATIONS
Upon written notice of resignation by a Board member to the Executive Board through any officer, the president shall appoint a replacement, with the approval of the Executive Board, to serve the remaining unexpired term.
ARTICLE IV. AFFILIATION WITH THE ACTM
Section 1. Procedures leading to affiliation
- Any group wishing to affiliate with the ACTM should request an application form from the president or secretary of the Executive Board of the ACTM.
- The name of the affiliate should reflect its geographical location.
- The president of the ACTM will meet with the officers of the group to ensure that the purposes and functions of the group are consistent with those of the ACTM and that the group serves a particular area and is not in conflict with an existing affiliate.
- The application for affiliation, with a list of names and addresses of members if available, should be forwarded to the president of the ACTM who will present the request to the Executive Board at its next meeting. The affiliate will be notified of action taken by the Executive Board
Section 2. Following notification of approval, the affiliate organization will select a member of its board to serve as a voting member of the ACTM Executive Board.
Section 3. The president of the ACTM should be invited to attend an early meeting of the affiliate to convey congratulations and offer services to the membership.
Section 4. Members of the affiliated group must be members of the ACTM.
Section 5. Affiliated groups will be eligible to receive up to $500 per calendar year from the ACTM to support programs, initiatives, or activities proposed by the group in support of the mission and goals of the ACTM. The request for this grant will be made by a representative of the affiliated group and approved by the Executive Board of the ACTM.
Section 6. In order to maintain affiliate status, affiliated groups must submit a report by October 31 of each year that includes a list of the affiliate's board members, a current membership roster, and a description of their recent activities.
ARTICLE V. SELF EVALUATION
The Executive Board shall evaluate itself in terms of mission, purpose, and strategic planning for fulfilling the responsibilities of the Executive Board and individual members.
ARTICLE VI. AMENDMENTS AND REVISIONS
These bylaws may be amended or revised by a simple majority vote of the Executive Board.
